Terms of Service
The legal agreement that governs your access to and use of Aquorio's website, platform, and enterprise services.

Please read these Terms carefully. By accessing or using Aquorio's website at aquorio.com or any of our services, you agree to be bound by these Terms of Service. If you do not agree, please discontinue use immediately.

Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", "you") and Aquorio Infolabs Private Limited ("Aquorio", "we", "us", "our"), a company incorporated under the Companies Act, 2013, with its registered office at AWFIS ZEN, 8, Square EON, Plot No. 9, Sector 142, Noida, Uttar Pradesh – 201305, India.
These Terms apply to all visitors, users, and enterprise clients who access our website, platform, or engage with our services. Use of our website or services constitutes your unconditional acceptance of these Terms, our Privacy Policy, and any other policies referenced herein.
For enterprise engagements, a separate Master Services Agreement (MSA) or Statement of Work (SOW) may supersede these Terms where expressly stated. In the absence of such an agreement, these Terms govern.

Services Description
Aquorio provides enterprise technology services including, but not limited to:
- AI Agents and Copilot solutions for sales, support, and operations
- CRM platform implementation, customisation, and managed services
- Data intelligence, analytics, and business intelligence platforms
- WhatsApp Business API integration and conversational commerce solutions
- CTI, telephony, and omnichannel communication infrastructure
- Cloud integration, API development, and system architecture services
We reserve the right to modify, expand, or discontinue any service or feature at any time with reasonable notice to existing clients. New features or services will be subject to these Terms unless otherwise stated.

Eligibility
Our services are intended exclusively for business and enterprise use. By using our services, you represent and warrant that:
- You are at least 18 years of age;
- You have the legal authority to bind the organisation on whose behalf you are acting;
- Your use of our services does not violate any applicable Indian law or regulation;
- You are not located in a jurisdiction where the provision of our services would be prohibited.
We do not knowingly provide services to individuals acting in a personal consumer capacity. Our platform and pricing are designed for registered businesses, corporates, and institutional entities.

Accounts & Access
Where access to Aquorio's platform or client portal is granted:
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify us immediately at info@aquorio.com of any suspected unauthorised access or breach of your account.
- You are fully responsible for all activities that occur under your account, whether or not authorised by you.
- Account access is non-transferable. You may not share, sell, or sublicense access to third parties.
- We reserve the right to suspend or terminate accounts that exhibit suspicious activity, policy violations, or non-payment.

Intellectual Property
All content, code, design elements, trademarks, logos, documentation, AI models, platform interfaces, and proprietary methodologies made available through Aquorio's website or services are the exclusive intellectual property of Aquorio Infolabs Private Limited or its licensors, protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and other applicable Indian IP laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use our services solely for your authorised business purposes as described in your service agreement.
You may not:
- Copy, reproduce, modify, or create derivative works from our platform, code, or content;
- Reverse engineer, decompile, or disassemble any component of our services;
- Remove or alter any copyright, trademark, or proprietary notices;
- Use our brand, logo, or name without prior written consent.
Your Data Remains Yours: All data you upload, generate, or process through our platform remains your property. We do not claim any ownership over your business data. Our right to process it is limited to what is necessary to provide the contracted services.

Prohibited Conduct
You agree not to use Aquorio's website or services to:
- Violate any applicable law, regulation, or court order in India or any other applicable jurisdiction;
- Transmit or process data that is unlawful, defamatory, obscene, or infringes third-party rights;
- Attempt to gain unauthorised access to our systems, infrastructure, or other clients' data;
- Introduce malware, viruses, ransomware, or any destructive code;
- Conduct denial-of-service attacks or stress testing without our written authorisation;
- Scrape, crawl, or systematically extract data from our platform without prior consent;
- Misrepresent your identity, affiliation, or the purpose of your use;
- Use our AI tools to generate content that is illegal, harmful, discriminatory, or violates Meta's or other platform's policies where applicable;
- Engage in any activity that could damage Aquorio's reputation, systems, or relationships with third-party providers.
Violation of these prohibitions may result in immediate service termination, forfeiture of fees paid, and civil or criminal action under the IT Act 2000, IPC, or other applicable laws.

Confidentiality
Both parties acknowledge that in the course of engagement, each may receive access to the other's confidential information including business strategies, technical specifications, pricing, client data, and proprietary methodologies ("Confidential Information").
Each party agrees to:
- Hold the other's Confidential Information in strict confidence;
- Use it solely for the purpose of the contracted engagement;
- Not disclose it to any third party without prior written consent, except to employees or contractors who need to know and are bound by equivalent confidentiality obligations;
- Promptly notify the other party if Confidential Information is required to be disclosed by law or court order.
Confidentiality obligations survive the termination of these Terms for a period of 3 years, unless a separate NDA specifies otherwise.

Payments & Billing
Payment terms for enterprise services are governed by the applicable proposal, invoice, or Master Services Agreement. Unless otherwise agreed:
- Invoices are due within 15 days of the invoice date unless otherwise specified in the SOW;
- Late payments attract interest at the rate of 18% per annum or the maximum permitted by law, whichever is lower;
- All amounts are exclusive of applicable taxes including GST, which will be charged at prevailing statutory rates;
- Disputed invoices must be raised in writing within 7 days of receipt. Undisputed portions must be paid in full by the due date;
- Aquorio reserves the right to suspend services for accounts that remain unpaid beyond 30 days of the due date, with 7 days' prior written notice.
All payments are to be made in Indian Rupees (INR) unless an alternative currency is specified in writing by Aquorio.

Warranties & Disclaimers
Aquorio warrants that:
- It has the right, authority, and capacity to enter into and perform under these Terms;
- Its services will be performed with reasonable care, skill, and diligence;
- It will maintain industry-standard security practices for the protection of your data.
Disclaimer: To the fullest extent permitted by applicable law, Aquorio's website and services are provided "as is" and "as available". We do not warrant that the website will be uninterrupted, error-free, or free from viruses. AI-generated outputs are probabilistic in nature and should be reviewed by qualified personnel before acting upon them. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement not expressly stated herein.

Limitation of Liability
To the maximum extent permitted under applicable Indian law:
- Aquorio's total aggregate liability arising out of or in connection with these Terms or the services shall not exceed the fees paid by you to Aquorio in the 3 months immediately preceding the event giving rise to the claim;
- Aquorio shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages;
- Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
These limitations reflect a fair allocation of risk between the parties and form an essential basis of the agreement between us.

Indemnification
You agree to indemnify, defend, and hold harmless Aquorio, its directors, officers, employees, agents, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms or applicable law;
- Your misuse of our services or platform;
- Infringement of any third-party intellectual property, privacy, or other rights caused by your actions;
- Any content or data you upload, process, or transmit through our platform;
- Your violation of Meta's WhatsApp Business policies where our API services are used.
Aquorio will notify you promptly of any such claim and cooperate reasonably in the defence. You may not settle any claim that imposes obligations on Aquorio without our prior written consent.

Termination
By You: You may terminate your use of our website at any time by ceasing to access it. Enterprise service termination is governed by the notice period specified in your MSA or SOW (typically 30–90 days).
By Aquorio: We may terminate or suspend your access to our services immediately, without prior notice, if:
- You breach any material provision of these Terms;
- You fail to pay amounts due after the grace period;
- Continued service delivery would expose us or third parties to legal risk;
- We are required to do so by law or court order.
Effect of Termination: Upon termination, your right to use our services ceases. We will return or securely delete your data within 30 days of termination, subject to legal retention obligations. All provisions that by their nature should survive termination — including confidentiality, intellectual property, liability limitations, and dispute resolution — shall continue to apply.

Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and all applicable regulations.
Dispute Resolution Process:
- Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute.
- Mediation: If negotiation fails, the parties shall attempt mediation through a mutually agreed mediator within a further 30 days.
- Arbitration: If mediation is unsuccessful, disputes shall be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration shall be Noida, Uttar Pradesh. The language of arbitration shall be English.
The courts of Noida, Uttar Pradesh shall have exclusive jurisdiction for matters not subject to arbitration, including injunctive or emergency relief.
Class Action Waiver: All disputes must be brought on an individual basis. You waive any right to participate in class action proceedings against Aquorio to the extent permitted by applicable Indian law.
